To qualify for a wholesale account, you must:

We reserve the right to approve, deny, suspend, or terminate wholesale accounts at our sole discretion.

3. Minimum Order Quantity (MOQ)

• Minimum opening order: AUD $1000

• Minimum reorder: AUD $500

We reserve the right to adjust MOQ requirements at any time.

4. Pricing & Payment Terms

4.1 Pricing

• Wholesale pricing is confidential and available only to approved wholesale partners.

4.2 Payment Methods

9. MAP Policy (Minimum Advertised Price)

• Termination of wholesale account

10. Brand Representation & Marketing

Buyers may:

• Use approved brand assets

• Promote products ethically and legally

Buyers may not:

• Misrepresent product specifications

• Make false health claims

• Use brand assets without authorization

11. Intellectual Property

All trademarks, logos, packaging, and materials remain the exclusive property of Alibarbar Vape Australia.

Unauthorized reproduction or modification is prohibited.

12. Limitation of Liability

We shall not be liable for:

• Loss of profits

• Business interruption

• Indirect or consequential damages

Our maximum liability shall not exceed the invoice value of the disputed order.

13. Indemnification

Buyer agrees to indemnify and hold harmless Alibarbar Vape Australia from all claims, losses, damages, liabilities, and expenses arising from resale activities, regulatory non-compliance, or misuse of products.

14. Confidentiality

Wholesale pricing, supply agreements, and business arrangements shall remain strictly confidential.

15. Termination

We reserve the right to suspend or terminate wholesale accounts without notice for:

• Policy violations

• Non-payment

• Regulatory non-compliance

• Brand misuse

16. Force Majeure

We shall not be liable for delays or failures caused by circumstances beyond our reasonable control.

17. Governing Law & Jurisdiction

This Agreement is governed by the laws of Australia, and disputes shall be subject to exclusive jurisdiction of Australian courts.
